Licensing

License Grant

Subject to the terms of the applicable license agreement, Roysdon LLC grants the Licensee a non-exclusive, non-transferable, revocable license to use the software toolboxes solely in accordance with the purchased license tier.

Ownership

All intellectual property rights, including source code, algorithms, documentation, and derivatives, remain the exclusive property of Roysdon LLC . No ownership rights are transferred.

Restrictions

Unless expressly permitted:

  • No redistribution, sublicensing, or resale

  • No offering as a hosted or managed service

  • No reverse engineering beyond permitted inspection

  • No removal of copyright or attribution notices

Commercial Use

Commercial deployment is permitted only under Startup, Enterprise, or Government licenses and is subject to applicable seat counts, revenue caps, or program scope.

Warranty Disclaimer

The software is provided “AS IS”, without warranty of any kind, express or implied, including fitness for a particular purpose or non-infringement.

Limitation of Liability

In no event shall Roysdon LLC be liable for indirect, incidental, or consequential damages arising from the use of the software.

Export & Compliance

Licensee is responsible for compliance with all applicable export control laws and regulations.

FAR / DFARS Contract Language

Rights in Technical Data & Software

This software is provided as Commercial Computer Software as defined in FAR 2.101.

Use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in:

  • FAR 52.227-19 (Commercial Computer Software License)

  • DFARS 252.227-7014 and 252.227-7015, as applicable

License Scope

The Government is granted a non-exclusive, non-transferable license to use the software solely within the scope of the licensed program or contract.

No Unlimited Rights

No unlimited rights, government-purpose rights, or data rights are granted unless expressly negotiated in writing.

Delivery & Environment

Software may be delivered for:

  • Unclassified

  • Controlled Unclassified Information (CUI)

  • Air-gapped or classified environments (by arrangement)

Warranty & Liability

Software is provided AS IS. No warranties, express or implied.
Liability is limited to the amount paid under the applicable contract.

Export Control

Licensee is responsible for compliance with ITAR, EAR, and all applicable export control laws.
